1. Agreement to Terms

These Terms of Use (the “Terms”) govern your access to and use of the Melody platform, including the Melody Launchpad, MelodySwap, On-chain Player, website, and any related applications or services (collectively, the “Services”), operated by Melody Labs (“Melody,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Overview of the Services

Melody is a blockchain-based platform designed to facilitate the tokenization, discovery, trading, and interaction of digital music assets.

The Services may include, but are not limited to:

• Melody Launchpad — a platform enabling the issuance of music-related tokens by creators or third-party projects

• MelodySwap — a decentralized liquidity and trading interface for digital assets

• On-chain Player — a blockchain-integrated music listening interface

• User participation programs, including incentive campaigns and testing programs

Melody provides software interfaces that allow users to interact with public blockchain networks. Melody does not custody user assets.

3. Non-Custodial Nature of the Platform

The Services are non-custodial. Users interact with the platform using self-hosted blockchain wallets. Melody does not control or access your private keys.

You are solely responsible for maintaining the security of your wallet, protecting your private keys, and managing your digital assets.

Loss of your private keys may result in permanent loss of access to your digital assets.

4. Eligibility

By accessing or using the Services, you represent and warrant that:

• You are at least 18 years old or the legal age in your jurisdiction

• You have the legal capacity to enter into these Terms

• You are acting on your own behalf and not for another person or entity

• You will comply with all applicable laws and regulations

You must not use the Services if such use is illegal in your jurisdiction.

5. Restricted Territories and Sanctions

Your access may be restricted based on your jurisdiction. You must not use the Services if you are located in, a citizen or resident of, or organized under the laws of any jurisdiction where the Services would be illegal (a “Restricted Territory”).

Melody may implement controls to restrict access, including screening against applicable sanctions lists.

You represent that you will not use any technical means to misrepresent your location.

6. Music Tokens and Digital Assets

The Services may enable the issuance, distribution, or trading of music-related digital tokens (“Music Tokens”) or other blockchain-based assets.

Music Tokens may represent access to platform features, participation in community programs, or other utility described by the issuer.

Music Tokens do not represent equity, ownership interests, or any guaranteed financial return, unless explicitly stated in writing by Melody.

Melody does not guarantee the value, liquidity, or future utility of any digital asset available through the Services.

7. Third-Party Projects

The Launchpad may facilitate token distribution by third-party creators, artists, or external projects. Information about such projects is provided by the respective project teams.

Melody does not endorse, verify, or warrant the accuracy, completeness, or legality of third-party project materials, and is not responsible for third-party conduct.

Your participation in third-party projects is at your own risk and discretion.

8. Fees, Gas, and Taxes

Blockchain transactions may require network fees (“gas”). Gas fees fluctuate and are not controlled by Melody.

You are solely responsible for any taxes that may apply to your transactions, holdings, or use of the Services.

9. Risks and Assumption of Risk

Using blockchain-based systems involves significant risks, including loss of digital assets. By using the Services, you acknowledge that you understand these risks and assume full responsibility for them.

10. No Investment Advice

Nothing in the Services constitutes investment, legal, tax, or financial advice.

You are solely responsible for conducting your own research and seeking professional advice if needed.

11. Prohibited Activities

You agree not to engage in activities that:

• violate any law or regulation

• infringe intellectual property rights

• attempt to hack, disrupt, or impair the Services

• involve fraud, misrepresentation, or market manipulation

• facilitate money laundering or other illicit activities

Melody may suspend or terminate access for suspected violations.

12. Intellectual Property

The Services and all related content, trademarks, software, and interfaces are owned by Melody or its licensors.

You receive a limited, non-exclusive, revocable, non-transferable license to access and use the Services for personal lawful purposes.

13. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and use information.

14. Modifications to the Services and Terms

Melody may modify, suspend, or discontinue any part of the Services at any time.

We may update these Terms by posting revised versions. Continued use constitutes acceptance.

15. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied.

Melody does not guarantee uninterrupted, secure, or error-free operation.

16. Limitation of Liability

To the maximum extent permitted by law, Melody will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data arising from your use of the Services.

17. Indemnification

You agree to indemnify and hold harmless Melody and its affiliates from claims arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

18. Termination

Melody may suspend or terminate your access to the Services at any time if you violate these Terms or if required by law.

19. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Hong Kong. Disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
